Welcome to artiphex.com (the “Site”), owned and operated by Artiphex Technologies Ltd. (“we”, “us”, “our”). These Terms and Conditions govern your access to and use of our Site and the purchase of our services and products.
By accessing, browsing, or using this Site, you acknowledge that you have read, understood, and agree to be bound by these terms. If you do not agree to these terms, you must not use this Site.
1. Definitions
- “Client”: Any individual or entity that purchases a Service or Product from Artiphex Technologies Ltd.
- “Service”: Any one-time or subscription-based service offered, including but not limited to Custom Web Development, Mobile App Development, and Monthly Support Plans.
- “Product”: Any digital, downloadable item sold on the Site, such as HTML themes, logos, or UI kits.
- “Intellectual Property”: All materials, including but not limited to code, designs, text, graphics, logos, and software, owned by us or our licensors.
2. Use of the Site
You agree to use the Site for lawful purposes only. You are prohibited from using the Site to post or transmit any unlawful, threatening, or profane material. We reserve the right to terminate your access to the Site for any violation of these terms.
3. Services and Products
We offer a range of technology services and digital products through our WooCommerce store.
- One-Time Services: Services like “Business Launchpad Website” or “Mobile App MVP” are sold as project-based packages. The descriptions on the product page are an outline. A detailed Statement of Work (SOW) and separate service agreement will be provided and must be signed before project commencement. The purchase price may represent a deposit or the full project cost, as specified.
- Subscription Services: Our “Digital Partner – Monthly Support” plan is a recurring subscription. By purchasing, you authorize us to charge your payment method on a recurring monthly basis until you cancel. Cancellations are effective at the end of the current billing cycle.
- Digital Products: Downloadable products are for your use as specified by the license included with the download. You may not resell, redistribute, or share these products.
4. Payment and Pricing
All prices are listed in Canadian Dollars (CAD). We use a third-party payment processor to handle all transactions. We do not store or have access to your credit card information. For subscription services, you are responsible for keeping your payment information current.
5. Intellectual Property Rights
- Our Property: All content on this Site, including our brand, logo, and all Digital Products sold, are the exclusive property of Artiphex Technologies Ltd.
- Client Projects: For custom development Services, upon receipt of full and final payment, the Client is granted full ownership of the final, deliverable work product (e.g., the deployed website or app). We retain the right to reuse underlying code, frameworks, and techniques developed during the project. We also reserve the right to display the completed work in our portfolio.
6. Client Responsibilities
For service-based projects, the Client agrees to provide all necessary content, materials, and feedback in a timely manner. Delays in providing these items may result in project timeline extensions and/or additional costs.
7. Limitation of Liability
To the fullest extent permitted by law, Artiphex Technologies Ltd. shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, whether incurred directly or indirectly, resulting from your use of our Site, Services, or Products. Our total liability for any claim arising out of these terms shall not exceed the amount paid by you for the Service or Product in question.
8. Governing Law
These Terms and Conditions are governed by and construed in accordance with the laws of the Province of Alberta and the federal laws of Canada applicable therein, without regard to its conflict of law principles.
9. Changes to These Terms
We reserve the right to modify these Terms and Conditions at any time. We will notify you of any changes by posting the new terms on this page with an updated “Last Updated” date.
